Terms of Service

Welcome! These Terms of Service (“Terms”) are part of an agreement between you and JARC, Co. They apply to your use of our services.

When we say "JARC", "we", "our", or "us" in these Terms, we are referring to JARC, Co., and its related companies.

When we say "services", we mean joiarc.com and any other JARC websites, apps, or services that link to these Terms.

When we say "you", "your", or "user" we are referring to you, the person or entity that’s registered with us to use the services.

When we say "Content Guidelines" or "guidelines" we are referring to the Content Guidelines and our Adult Content Policy, as well as any other policies we have in place that relate to the content you add to the services.

JOI is a social network property of JARC, Co., accessible via the website joiarc.com. JOI is a place where you can be anyone you want to be, meet people and live a whole different social life. We're happy to have you here.

By accessing or using the services, you confirm that you are at least 18 years old and meet the minimum age requirement to be considered an adult by the laws of your country. If you are old enough to use the services, but not old enough to enter into legally binding agreements, you must have your parent or legal guardian’s permission to use the services. Please have them read these Terms with you.

You may need to create an account to use the services. You're responsible for the security of your account, and you must notify us right away if you suspect any unauthorized use of your account. If you use a password, it must be strong and kept confidential, we seriously recommend that you use that password only for this account.

You must always provide accurate information to us and keep it up to date. We may need to contact you at the email address you provide when you create your account. These communications are considered part of the services, and you may not be able to opt-out from receiving them.

If you lost access to your account or you no longer have access to the email address you associated with your account, we may not be able to help you recover your account.

You agree not to sell, transfer, or lend your account, username or any other account details to anyone else without our permission. We reserve the right to delete, change, or reclaim your username or other account identifier.

When we say "content" in these Terms, we mean all the things you post, upload, share, and store using the services. This includes text, photos, GIFs, links, or any other media. If we add another way to add content to the services, it will also be included in this definition.

If you choose to add content to the services, you are responsible for that content. This means you assume all risks related to it, including someone else’s reliance on its accuracy, or claims relating to intellectual property or other legal rights. We take no responsibility for the content you or others add to the services.

Please take in mind that everything you post on the services is public by default and can be seen by others. You can change the visibility of your posts at any time, or make your profile private, but remember that others may have already seen your content.

You understand that by using the services, you may be exposed to content that might be offensive, harmful, explicit/sensitive, inaccurate, or otherwise inappropriate. In some cases, content may be mislabeled or deceptively labeled. We take no responsibility for the content that others add to the services. The whole responsibility is on the person who added the content. We may, but have no obligation to, monitor, review, or control content that you or others add to the services.

You may report content that you believe violates any of our policies, we may, but have no obligation to review it and take further action.

Our main service is a social network where everyone can create characters (we call them "JOIs") and meet people roleplaying as their characters. You understand that any character you create or see on the services is fictional/fake and created by a user not related to the character. We give you the ability to make two types of posts: In-Character (IC) and Out-of-Character (OOC). IC posts are posts made by the character, and OOC posts are posts made by the user behind the character. You must always make it clear if your post is IC or OOC.

Your content is yours, but you give us a license to it when you use the services. Your content might be protected by copyright. But by using the services, you grant us a license to do the following with your content:

• Use, monitor and store your content. An example of this would be storing your content on our servers and any other cloud
• Display, translate, modify, reformat, and create derivative works of your content. An example of this would be recommend your content to others or modify it to fit different screen sizes.
• Use your content to promote the services (if you've chosen to make it visible to others). An example of this would be showing your content on our social media accounts or in our marketing materials.

This license is worldwide, non-exclusive (meaning you can license your content to others), royalty-free (meaning we won't pay you for using your content), sublicensable, transferable, and perpetual.

We reserve the right to remove any content that violates these Terms, our guidelines, or any other policies we have in place. We may also remove content that we believe violates any law or regulation, or if it creates a risk for JARC or any of our users.

Feedback is always welcome. If you choose to submit comments, ideas, or feedback, you agree that we are free to use them without any restriction or compensation to you.

Every user is responsible for the content they add to the services. If you believe that your content has been copied in a way that constitutes copyright infringement, report it. But take in mind every content on the services is fake/parody, and every user agrees to this. Example: A user creates a character based on a real person, acting as that person. We may or may not remove the content, as every content added to the services is fake.

We display a disclaimer to every unregistered person that visits a post or profile on the services. This disclaimer states that every content on the services is fake and created by users not related to the character. If someone still believes that the content is real, we are not responsible for that.

When using the services, you must follow all of our policies, including our guidelines. You must not misuse the services. You can't encourage, help, try to do, or do any of the following:

• Don't use the services to harm yourself or others. This includes trying to gain access to other people's accounts or non-public areas of the services, harassing, abusing, threatening, spamming, or violating the rights of others.
• Don't use the services to harm JARC. This includes trying to gain unauthorized access to non-public areas of the services, distributing malware or other harmful code, or trying to interfere with the services or our systems, copying, modifying, or distributing any part of the services without our written consent, misusing our reporting or support services, or trying to reverse engineer our systems.
• Don't use the services to commit illegal activities. This includes using the services to violate any laws, any crime, or to promote or encourage any illegal activities.
• Don't use the services for commercial purposes. This includes using the services to sell products or services, or to increase traffic to your website for commercial reasons.
• Don't add real-life information about yourself or others on the services. This includes adding your real name, address, phone number, email, or any other personal information to the services. You must keep your real-life information out of the services. Every content on the services is fake, and you must keep it that way.

We really encourage you to report any content or user that violates these restrictions.

The services may be free or we may charge a fee for using them. If we ever decide to start charging for a service that is currently free, we'll let you know before we start charging. If you don't agree to the new fees, you must stop using the services.

Any and all charges, fees, costs are your sole responsibility. You must pay for all charges, fees, and costs associated with your use of the services. You must also pay any applicable taxes.

• Paid Services. Certain services may be subject to payments now or in the future (the “Paid Services”). One of these services is our "Plus" subscription. Please note that any payment terms presented to you in the process of using or signing up for a Paid service are deemed part of these Terms.
• Billing. We use a third-party payment processor (the “Payment Processor”) to bill you through a payment account linked to your account on the services (your “Billing Account”) for use of the Paid Services. The processing of payments will be subject to the terms, conditions, and privacy policies of the Payment Processor in addition to these Terms. At the moment, we use Stripe, Inc. as our Payment Processor. You can read Stripe's Terms of Service at https://stripe.com/us/checkout/legal and their Privacy Policy at https://stripe.com/us/privacy. We are not responsible for any error by, or any acts or omissions of, the Payment Processor. By choosing to use Paid Services, you agree to pay us, through the Payment Processor, all charges at the prices then in effect for any use of such Paid Services in accordance with the applicable payment terms and you authorize us, through the Payment Processor, to charge your chosen payment provider (your “Payment Method”). You agree to make payment using that selected Payment Method. We reserve the right to correct any errors or mistakes that the Payment Processor makes even if it has already requested or received payment.
• Payment Method The terms of your payment will be based on your Payment Method and may be determined by agreements between you and the financial institution, credit card issuer, or other provider of your chosen Payment Method. If we, through the Payment Processor, do not receive payment from you, you agree to pay all amounts due on your Billing Account upon demand.
• Recurring Billing. Some of the Paid Services like our Plus subscription may consist of an initial period, for which there is a one-time charge, followed by recurring period charges as agreed to by you. By choosing a recurring payment plan, you acknowledge that such services have an initial and recurring payment feature and you accept responsibility for all recurring charges prior to cancellation. WE MAY SUBMIT PERIODIC CHARGES (E.G., MONTHLY) WITHOUT FURTHER AUTHORIZATION FROM YOU, UNTIL YOU PROVIDE PRIOR NOTICE (RECEIPT OF WHICH IS CONFIRMED BY US) THAT YOU HAVE TERMINATED THIS AUTHORIZATION OR WISH TO CHANGE YOUR PAYMENT METHOD. SUCH NOTICE WILL NOT AFFECT CHARGES SUBMITTED BEFORE WE REASONABLY COULD ACT. TO TERMINATE YOUR AUTHORIZATION OR CHANGE YOUR PAYMENT METHOD, GO TO YOUR SUBSCRIPTION SETTINGS.
• Current Information Required. YOU MUST PROVIDE CURRENT, COMPLETE, AND ACCURATE INFORMATION FOR YOUR BILLING ACCOUNT. YOU MUST PROMPTLY UPDATE ALL INFORMATION TO KEEP YOUR BILLING ACCOUNT CURRENT, COMPLETE, AND ACCURATE (SUCH AS A CHANGE IN BILLING ADDRESS, CREDIT CARD NUMBER, OR CREDIT CARD EXPIRATION DATE), AND YOU MUST PROMPTLY NOTIFY US OR OUR PAYMENT PROCESSOR IF YOUR PAYMENT METHOD IS CANCELED (E.G., FOR LOSS OR THEFT) OR IF YOU BECOME AWARE OF A POTENTIAL BREACH OF SECURITY, SUCH AS THE UNAUTHORIZED DISCLOSURE OR USE OF YOUR USER NAME OR PASSWORD. CHANGES TO SUCH INFORMATION CAN BE MADE IN YOUR SUBSCRIPTION SETTINGS. IF YOU FAIL TO PROVIDE ANY OF THE FOREGOING INFORMATION, YOU AGREE THAT WE MAY CONTINUE CHARGING YOU FOR ANY USE OF PAID SERVICES UNDER YOUR BILLING ACCOUNT UNLESS YOU HAVE TERMINATED YOUR PAID SERVICES AS SET FORTH ABOVE.
• Change in Amount Authorized. If the amount to be charged to your Billing Account varies from the amount you preauthorized (other than due to the imposition or change in the amount of state sales taxes), you have the right to receive, and we shall provide, notice of the amount to be charged and the date of the charge before the scheduled date of the transaction. Any agreement you have with your payment provider will govern your use of your Payment Method. You agree that we may accumulate charges incurred and submit them as one or more aggregate charges during or at the end of each billing cycle.
• Auto-renewal for the Plus subscription Unless you opt-out of auto-renewal, which can be done through your subscription settings by canceling your subscription, your Plus subscription will be automatically extended for successive renewal periods of the same duration as the subscription term originally selected, at the then-current non-promotional rate. To change or resign your subscription at any time, go to your subscription settings. If you terminate your subscription, you may use your subscription until the end of your then-current term; your subscription will not be renewed after your then-current term expires. However, you won't be eligible for a prorated refund of any portion of the subscription fee paid for the then-current subscription period. IF YOU DO NOT WANT TO CONTINUE TO BE CHARGED ON A RECURRING MONTHLY BASIS, YOU MUST CANCEL YOUR SUBSCRIPTION, WHICH CAN BE DONE THROUGH YOUR SUBSCRIPTION SETTINGS. PAID SERVICES CANNOT BE TERMINATED BEFORE THE END OF THE PERIOD FOR WHICH YOU HAVE ALREADY PAID, AND EXCEPT AS EXPRESSLY PROVIDED IN THESE TERMS, JARC WILL NOT REFUND ANY FEES THAT YOU HAVE ALREADY PAID.
• Reaffirmation of Authorization Your non-termination or continued use of a Paid Service reaffirms that we are authorized to charge your Payment Method for that Paid Service. We may submit those charges for payment and you will be responsible for such charges. This does not waive our right to seek payment directly from you. Your charges may be payable in advance, in arrears, per usage, or as otherwise described when you initially selected to use the Paid Service.

You have the freedom to stop using our services at any time and for any reason. To terminate this agreement, you can deactivate or delete your profiles/account and stop using the services. You can also check our Privacy Policy to see how we handle your data after you stop using the services.

As JOIs (profiles, characters, etc.) can be created so easily (without any verification like email or phone number), we have a 14-day waiting period before you can delete any of your JOIs. This is to prevent someone from creating multiple JOIs to violate our guidelines and then deleting them to avoid consequences. You agree to this waiting period when you create a JOI.

We have the right to terminate this agreement at any time and for any reason. We may suspend your characters or your entire account with or without notice, for any reason, or for the following reasons:

• You violate these Terms, our guidelines, or any other policies we have in place.
• We're required to do so by law to comply with a legal requirement or a court order.
• We believe that your actions may cause legal liability for you, our users, or JARC.
• You've been inactive for a prolonged period.
• Circumstances beyond our control prevent us from providing the services.

No warranties. We provide the services “as is,” “with all faults,” and “as available.” We make no express warranties or guarantees about the services. To the extent permitted by law, we disclaim any implied warranties for the services.

Third-party websites. Profiles, posts, direct messages, and more content on the services may contain links to third-party websites. We don't control, endorse or approve any content on third-party websites. You agree that we are not responsible for the availability or content of these websites. When you access a third-party website from the services, you do so at your own risk.

Our liability to you. To the extent permitted by law, we won't be responsible for any lost profits, revenues, or data, financial losses, or indirect, special, consequential, exemplary, or punitive damages arising out of or in connection with the services or these Terms.

Your liability to us. If we are sued because of your use of the services or breach of these Terms, you agree to defend, indemnify, and hold us harmless from all liabilities, claims, and expenses that arise from or relate to your use or misuse of the services. We reserve the right to control the defense of any matter that is subject to this indemnification clause. In such case, you agree to cooperate with any reasonable requests assisting our defense of the matter.

Changes to these Terms. We may update these Terms from time to time. If we believe that the changes are material, we'll let you know by sending you an email or by posting a notice on the services before the changes take effect. If you continue to use the services after the changes take effect, you agree to the new Terms. If you don't agree to the new Terms, you must stop using the services.

Entire agreement. These Terms make up the entire agreement between you and JARC, Co. regarding your use of the services. They supersede any prior agreements.

Bug reporting, feedback, or appeals. If you have any questions, feedback, or want to report a bug, see How to contact support for instructions on how to do this.

Severability. If you fail to comply with these Terms and we don't take immediate action, it doesn't mean that we are giving up any rights that we may have (such as taking action in the future). If you find that any part of these Terms is invalid, illegal, or unenforceable, that part will be removed from the Terms, and the rest of the Terms will still be valid and enforceable.

Assignment. You may not assign or transfer these Terms (or your membership or use of services) to anyone else without our consent. However, you agree that we may assign these Terms to our affiliates or a party that buys us without your consent.

Survival. All provisions of these Terms which by their nature should survive termination will survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
